1. Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of the websites, products, and services provided by Dropbay. (“Dropbay,” “we,” “our,” or “us”). By visiting our site, purchasing a product, or otherwise using our services, you accept and agree to be bound by these Terms as well as our Refund Policy, Privacy Policy, and any additional guidelines posted on dropbay.co (collectively, the “Agreement”). If you do not agree, you must not use our services.

2. Eligibility

You must be at least 18 years old and able to form a legally binding contract to use our services. By purchasing a store you represent that (a) you are legally able to enter into this Agreement, and (b) all information you provide is accurate and complete.

3. Our Services

Dropbay designs and delivers pre-built Shopify stores, custom Shopify stores, and subscription-based store-creation services, together with related marketing assets (“Services”). Details, pricing, and build timelines are displayed on each product page.

4. Accounts & Access

Certain features require a Shopify Partner collaboration invite. You are responsible for maintaining the confidentiality of your Shopify credentials, preventing unauthorised access, and ensuring that any collaborator invitations you approve originate from Dropbay.

5. Payments

All prices are listed in U.S. dollars unless stated otherwise. Payment is due in full at checkout. By completing a purchase you authorise us (or our third-party payment processor) to charge your payment method for the total amount. Taxes, currency-conversion fees, or bank charges are your responsibility.

6. Refunds

Refunds are governed exclusively by the Dropbay Refund Policy in effect on the date of purchase. Please review that policy before completing any transaction.

7. Intellectual Property

The Dropbay name, logo, site content, and the proprietary portions of any marketing material we supply remain our intellectual property. You receive a non-exclusive, non-transferable licence to use those assets solely in connection with the store we deliver to you. All Shopify themes, apps, or third-party assets remain the property of their respective owners and may require separate licences.

8. User Responsibilities

You agree to:
• Maintain an active Shopify subscription and any required theme licences.
• Comply with all applicable laws, regulations, and Shopify policies (including product restrictions).
• Replace or remove any supplier-provided image, video, or text that you suspect may infringe third-party rights.
• Use the store and its content at your own risk and for lawful purposes only.

9. Prohibited Conduct

You must not:
• Resell, sublicense, or redistribute any Dropbay store or asset without our written consent.
• Reverse-engineer or attempt to gain unauthorised access to Dropbay systems.
• Use our Services to promote illegal, hateful, or infring­ing content.

10. Disclaimers

Services are provided “as is” and “as available.” Dropbay disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee any specific sales, profits, traffic, or search-engine ranking.

11. Limitation of Liability

To the maximum extent permitted by law, Dropbay will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of revenue, profits, or data arising out of or related to your use of our Services, even if advised of the possibility of such damages. Our aggregate liability will not exceed the amount you paid for the Service giving rise to the claim.

12. Indemnification

You agree to defend, indemnify, and hold harmless Dropbay and its directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or debt arising from (a) your use of the Services, (b) your violation of these Terms, or (c) your violation of any third-party right.

13. Governing Law & Dispute Resolution

This Agreement is governed by the laws of England and Wales, without regard to conflict-of-law provisions. Any dispute arising out of or relating to the Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to Terms

We may modify these Terms at any time by posting the revised version on our website. Changes become effective on the “Effective” date shown above. Continued use of our Services after that date constitutes acceptance of the revised Terms.

15. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful to Dropbay. Upon termination, provisions that by their nature should survive (including intellectual-property, disclaimers, limitations of liability, and indemnities) will remain in effect.
