Purchase Agreement

DROPBAY PURCHASE AGREEMENT
Effective 30 May 2025

This agreement covers the terms and conditions related to purchasing any products and services purchased through dropbay.co. Please ensure you read and understand all conditions before making any purchase.

1. Scope

This Agreement sets out the terms and conditions governing all products and services purchased from Dropbay (“Dropbay,” “we,” “our,” or “us”). By completing a purchase you acknowledge that you have read, understood, and agree to be bound by this Agreement.

2. Cost of Service

Your payment covers the one-time design, build, and hand-off of the selected Shopify store, plus any marketing materials expressly listed on the product page. Hosting is not included. You must maintain an active Shopify subscription (currently USD 32 per month for the Basic plan) for your store to remain online.

3. Suppliers & Products

We import live product listings from third-party suppliers at the time we build your store. Stock levels, pricing, and ongoing availability are outside our control once delivery is complete. After hand-off you are solely responsible for monitoring inventory and sourcing equivalent items should a supplier discontinue a product.

4. Themes & Licensing

Certain stores may utilise premium Shopify 2.0 themes that require an individual licence. When a licence is needed we will state this requirement clearly in the store description before checkout. We provide the design on an unlicensed copy for preview purposes; you are responsible for purchasing and activating the theme licence before going live.

5. Lifetime Support & Guidance

Dropbay provides lifetime email or Slack support for every store we build. Support covers questions on dropshipping, marketing strategy, and the technical operation of your Dropbay store. Support does not include post-delivery custom theme edits, new creative assets, ads management, or services not advertised on our website.

6. Content & Asset Disclaimer

All images and videos used in our pre-built stores are supplied to us under assurance from each supplier that the assets are free for commercial use. Despite our best efforts to verify these permissions, Dropbay cannot guarantee that every asset is free of third-party copyright or trademark claims. You agree to review the store on delivery and replace any asset you are uncomfortable using. Dropbay will not be liable for claims arising from the continued use of supplier-provided assets.

7. Fulfilment of Service

After payment we confirm your order within 24 hours and provide an estimated delivery window. The delivery date is an estimate, not a guarantee, and may change due to factors such as supplier response times or additional information required from you.

8. Guarantees

We guarantee:
• Delivery of a fully functional Shopify store capable of processing transactions, and
• Prompt answers to reasonable questions about dropshipping, marketing, and operating the store.

We do not guarantee sales, profit levels, or advertising performance.

9. Earnings Disclaimer

Every effort has been made to accurately represent our products and their potential. There is no guarantee that you will earn any money using the ideas or software provided. Your level of success depends on time, finances, knowledge, and ability. Forward-looking statements on this site are our opinions of earnings potential only and should not be relied upon as promises or guarantees.

10. Changes to This Agreement

We may update this Agreement from time to time. Any changes apply to purchases made after the revised effective date posted at the top of this page.
